Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a company, you represent and warrant that you have the authority to bind that company to these Terms.

2. Account Registration and Types

2.1 Account Types

The Platform supports the following account types:

• Supplier Account: For China-based manufacturers and suppliers to list products, manage inventory, and process orders from dealers
• Dealer Account: For global distributors and dealers to browse products, place orders, manage white-label stores, and serve end customers
• Store Customer Account: For end customers purchasing from dealer-operated white-label storefronts

2.2 Registration Requirements

• You must provide accurate, current, and complete information during registration
• You must maintain and promptly update your account information
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• Each person or entity may maintain only one account per account type

2.3 Account Approval

Supplier and dealer accounts require approval through our review process. We reserve the right to approve or reject any registration at our sole discretion. Pending approval, your account will have limited functionality.

3. Platform Services

3.1 Supplier Services

• Submit products for listing on the Platform, subject to our review and approval process
• Manage product information including specifications, pricing, images, and logistics details
• Receive and process purchase requests and orders from dealers
• Request product modifications and re-reviews for previously approved products
• Suspend and resume product sales as needed

3.2 Dealer Services

• Browse and select products from approved suppliers
• Place orders and manage purchase transactions
• Operate white-label storefronts using Platform product data
• Manage store settings, branding, and customer-facing content

3.3 Product Review Process

All products submitted by suppliers undergo a review process:

• Pending: Product submitted and awaiting review
• Approved (Active): Product has passed review and is visible to authorized dealers
• Published: Product is listed and available for ordering
• Rejected: Product did not pass review; supplier may revise and resubmit
• Resubmit: Product has been sent back by the platform for revision

4. User Obligations and Conduct

You agree not to:

• Provide false, misleading, or inaccurate information in your registration or product submissions
• Submit products that infringe on any third party's intellectual property rights
• Misrepresent product specifications, pricing, certifications, or origin
• Attempt to circumvent the product review or approval process
• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Interfere with or disrupt the Platform's servers, networks, or security systems
• Create multiple accounts to circumvent restrictions or gain unfair advantages
• Share your account credentials with unauthorized third parties
• Engage in price manipulation, fraud, or deceptive trade practices
• Use automated systems (bots, scrapers) to access the Platform without our permission
• Harvest or collect personal information of other users without consent

5. Intellectual Property

5.1 Platform Content

The Platform, including its design, text, graphics, logos, and software, is owned by VIRY and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform content without our written permission.

5.2 User-Submitted Content

• By submitting product information, images, and other content, you grant VIRY a non-exclusive, worldwide, royalty-free license to use, display, distribute, and modify such content for the purpose of operating and promoting the Platform
• You represent and warrant that you own or have the right to submit all content, and that it does not infringe on any third party's intellectual property rights
• Product images and descriptions may be displayed on dealer-operated white-label storefronts as part of our services

5.3 Trademarks

"VIRY GROUP", "VIRY Supply Chain Hub", and related logos are trademarks of VIRY GROUP (H.K.). You may not use these marks without our prior written consent.

6. Product Listings and Orders

• Product Accuracy: Suppliers are solely responsible for the accuracy and completeness of product information, including specifications, pricing, certifications, and compliance with applicable regulations
• Product Modifications: Approved products cannot be directly edited. Suppliers must submit a revision request, which will go through the review process again. The original product remains active until the revised version is approved
• Product Suspension: Suppliers may suspend product sales at any time. Suspended products are removed from dealer visibility. If product information is modified during suspension, the product must undergo review again before resuming sales
• Product Deletion: Approved or published products cannot be deleted by suppliers. Deletion requests must be submitted to platform administrators
• Order Processing: Orders are subject to product availability, supplier confirmation, and applicable minimum order quantities
• Pricing: All prices listed on the Platform are subject to change. Final pricing is confirmed at the time of order placement

7. White-Label Storefronts

• Dealers may operate white-label storefronts using Platform product data and infrastructure
• Dealers are responsible for their store branding, marketing, and customer service
• Store customers are the responsibility of the respective dealer; VIRY does not directly manage store-customer relationships
• Dealers must not misrepresent VIRY's role or create the impression that VIRY is the direct seller of products on their storefronts
• VIRY reserves the right to suspend or terminate storefronts that violate these Terms

8. Fees and Payments

• Account registration is currently free of charge. We reserve the right to introduce fees for certain services in the future with prior notice
• Transaction fees, commission structures, and payment terms for orders are governed by separate agreements between the parties
• You are responsible for any taxes applicable to your transactions on the Platform
• Payment processing is subject to the terms of our payment service providers

9. Disclaimers

• As-Is Service: The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• Product Quality: VIRY does not manufacture, produce, or directly sell any products listed on the Platform. Product quality, compliance, and fitness for a particular purpose are the sole responsibility of the respective supplier
• Transaction Risks: VIRY acts as an intermediary platform. While we facilitate connections between suppliers and dealers, we are not a party to transactions between users. Users assume all risks associated with their transactions
• Third-Party Content: We are not responsible for the accuracy, legality, or appropriateness of content submitted by users or third parties
• Service Availability: We do not guarantee uninterrupted or error-free access to the Platform. Maintenance, updates, and unforeseen circumstances may temporarily affect availability

10. Limitation of Liability

• To the maximum extent permitted by applicable law, VIRY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• VIRY's total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed the greater of (a) the fees you paid to VIRY in the 12 months preceding the claim, or (b) HKD 1,000
• VIRY is not liable for any disputes, losses, or damages arising from transactions between users
• VIRY is not liable for any failure to perform obligations due to events beyond our reasonable control (force majeure)

11. Indemnification

You agree to indemnify, defend, and hold harmless VIRY GROUP (H.K.), its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms
• Your violation of any applicable laws or third-party rights
• Content you submit to the Platform, including product information that infringes on intellectual property rights
• Your transactions or dealings with other Platform users

12. Account Suspension and Termination

We may suspend or terminate your account if:

• You breach any provision of these Terms
• We receive credible complaints about your conduct or business practices
• We suspect fraud, misrepresentation, or illegal activity
• Your account has been inactive for an extended period
• Required by law or legal process

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

13. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region
• Dispute Resolution: Any disputes arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong
• Arbitration: As an alternative to litigation, either party may submit the dispute to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or by email. Your continued use of the Platform after such modifications constitutes acceptance of the revised Terms. If you disagree with any changes, you must stop using the Platform and may request account termination.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and VIRY regarding the Platform
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect
• Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent
• Language: These Terms are available in both English and Chinese. In the event of any inconsistency, the English version shall prevail
